ICON LABOUR
Contractor Terms of Business
Version 1.0 · 11 October 2026
£500 + VAT per operative who starts work.
No placement fee is payable merely for an enquiry, interview, offer or agreed future start date. One replacement introduction is available where the five-working-day guarantee applies.
These Terms apply to construction operative introductions made by Icon Civils Ltd, company number 14763903, whose registered office is 48 Bush Hill Road, London, Greater London, N21 2DT, trading as Icon Labour (“Icon Labour”, “we”, “us” or “our”), to the contractor or other hiring organisation (“Client”, “you” or “your”).
1. Definitions
Candidate or Operative means a work-seeker registered with or introduced by Icon Labour. Introduction includes disclosing a Candidate’s identity or identifying details, forwarding a non-anonymised profile or CV, or arranging contact, interview or engagement. Engagement means employing, engaging or otherwise using an Introduced Candidate’s services, directly or indirectly and in any capacity. Start Date means the date on which the Candidate actually first performs work following an Introduction.
Introduction Period means 12 months from our most recent Introduction of the Candidate. Associated Entity includes any group company, subsidiary, holding company, joint venture or entity under common control with the Client.
2. Our service and status
Icon Labour provides work-finding and introduction services and operates as an employment agency in relation to Introductions under these Terms. We do not employ, payroll, supervise, direct or control Candidates and do not supply labour under our own contract for services. The Candidate is engaged and paid directly by the Client or another engaging entity agreed by the Client and Candidate.
We are not a party to the contract between the Client and Candidate and do not determine employment status, tax status, pay, hours, notice or other engagement terms. We do not charge Candidates for work-finding services.
3. Information required from the Client
Before we propose or introduce a Candidate, the Client must provide accurate information about its identity and business, the role and duties, site, Start Date, likely duration, working hours, rate or range of remuneration, engagement basis and payment arrangements.
The Client must identify required experience, references, training, qualifications, cards, licences, authorisations and competencies. It must disclose known health and safety risks and the controls in place, together with PPE, induction, testing, medical, security and access requirements. The Client must promptly notify us if any material information changes.
4. Candidate profiles, checks and Introductions
Website profiles may be anonymised. An anonymised profile is not an Introduction unless it identifies the Candidate. The Client must request an Introduction through Icon Labour and must not attempt to identify or contact an anonymous Candidate outside our process.
We review Candidate information and take the steps required of us under applicable recruitment legislation. Unless we expressly confirm that a specific item has been verified, profile information may be based on Candidate declarations. The Client remains responsible for its recruitment decision and for any interviews, references, competency checks and other due diligence it considers necessary.
5. Fee and when it becomes due
Unless we agree a different fee in writing before the Engagement, the successful placement fee is £500 plus VAT for each Introduced Candidate who actually starts work.
No placement fee is due merely because the Client requests an Introduction, views a profile, interviews a Candidate, offers work or agrees a future Start Date. The fee becomes due only when the Candidate actually commences work. A separate fee is due for each Candidate who starts.
The fee is not a percentage of the Candidate’s pay and does not reduce because an Engagement is short-term, part-time or ends early, subject to the Replacement Guarantee below. The Client must tell us in writing within two working days of a Candidate starting and confirm the actual Start Date, project and engaging entity.
6. Invoicing and payment
We may invoice on or after the Start Date. Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing. Fees exclude VAT, which is added at the prevailing rate where applicable.
Genuine invoice queries must be raised within five working days. Undisputed sums remain payable on time. For overdue sums, we may exercise applicable statutory rights to interest, fixed compensation and reasonable recovery costs and may suspend further Introductions.
7. Protection of Introductions
If the Client, an Associated Entity or a third party receiving the Candidate’s details from the Client Engages an Introduced Candidate during the Introduction Period, the fee becomes payable when the Candidate starts work. This applies even if the Engagement is arranged without our further involvement or through another agency, umbrella, subcontractor or intermediary.
If the Client had an active, documented recruitment relationship with the Candidate before our Introduction, it must provide evidence within five working days of our Introduction so that we can assess whether the fee applies.
8. Five-working-day Replacement Guarantee
If a Candidate leaves at their own initiative or the Client ends the Engagement for substantiated conduct or capability reasons during the Candidate’s first five working days actually worked, we will use reasonable endeavours to provide one replacement Introduction for substantially the same vacancy without a further placement fee.
The Client must notify us in writing within one working day after the Engagement ends, explain the reason and request a replacement. The original invoice must be paid in full by its due date. The replacement search will remain open for up to 30 calendar days from the request. The guarantee is a replacement service only; it does not provide a refund or credit and does not restart for a replacement Candidate.
The guarantee does not apply where the project or vacancy is cancelled, work is reduced, the Candidate is laid off or made redundant, the Client changes the location, duties, hours, rate or other material terms, the Client fails to pay the Candidate, the Engagement ends due to a Client health and safety breach, or the reason is unrelated to the Candidate’s conduct or capability.
9. Client responsibilities
The Client is responsible for documenting the Engagement, paying the Candidate and complying with all employment, worker, tax, payroll, CIS and off-payroll obligations arising from the chosen arrangement. The Client must determine the correct employment and tax treatment and obtain professional advice where necessary.
The Client or engaging entity is responsible for statutory right-to-work checks and repeat checks. Any identity or recruitment checks carried out by Icon Labour do not replace that responsibility.
The Client is responsible for the Candidate’s health, safety and welfare while working under its arrangements, including risk assessment, induction, supervision, safe systems of work, PPE and insurance. It must not require work for which the Candidate lacks a legally required qualification, authorisation or competence.
10. Suitability
We do not guarantee that a Candidate will be suitable, competent, reliable or remain available. The final decision to Engage is the Client’s. If we obtain information indicating that an Introduced Candidate may be unsuitable, we will take the steps required by applicable law.
11. Confidentiality and data protection
Candidate information must be used only for legitimate recruitment, Engagement and related administration. Once it receives identifiable Candidate information, the Client will ordinarily be an independent controller and must comply with UK data protection law, keep information secure, restrict access and avoid unnecessary retention or disclosure.
Our handling of personal information is explained in our Privacy Notice.
12. Liability
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot lawfully be excluded.
Subject to that, Icon Labour is not liable for the acts, omissions, workmanship, attendance, conduct, performance, insolvency or payment obligations of a Candidate, Client or third party, or for indirect or consequential loss, loss of profit, revenue, production, contract, opportunity, goodwill or anticipated savings.
Subject to liability that cannot lawfully be limited, our aggregate liability arising from these Terms will not exceed the greater of the fees paid or payable by the Client to us during the preceding 12 months and £500.
13. Suspension and termination
Either party may end the ongoing relationship on 14 days’ written notice. We may suspend or terminate immediately for material breach, non-payment, misuse of Candidate information, attempted circumvention, unlawful conduct or serious health and safety concerns. Accrued rights and provisions intended to survive termination remain effective.
14. General
These Terms and any written vacancy-specific confirmation form the entire agreement for our Introduction services. A specific written confirmation prevails only to the extent it expressly conflicts with these Terms. We may update these Terms for future Introductions by giving reasonable notice.
The Client may not assign these Terms without our written consent. If a provision is invalid, the remainder continues. Delay in exercising a right is not a waiver. A person who is not a party has no right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
These Terms and any non-contractual disputes are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction unless mandatory law requires otherwise.
15. Acceptance
The Client accepts these Terms by ticking the acceptance box when preparing an enquiry, requesting an Introduction after receiving these Terms, confirming a placement, or using identifiable Candidate information supplied by Icon Labour for recruitment purposes. The person accepting confirms that they have authority to bind the Client.
Questions about these Terms may be sent to contact@iconlabour.co.uk.
